1. Acceptance of Terms
By accessing or using the Virtu platform ("Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use this Platform. We may modify these terms at any time, and your continued use constitutes acceptance of any changes.
2. Age Requirement & Minor Safety
IMPORTANT: Age Requirements
- Users must be 18 years or older to create an account on Virtu
- For users under 18, a parent or legal guardian must create and manage the account
- Parents/guardians must supervise and attend all video calls involving minors
- Trainers are prohibited from conducting unsupervised 1-on-1 video calls with minors
- Parents/guardians assume full legal responsibility for any minor's use of the Platform
By using Virtu, you confirm that you are at least 18 years old, or that you are a parent/guardian creating an account on behalf of a minor and accept full responsibility for their use of the Platform.
3. Independent Trainers
All trainers on Virtu are independent professionals. It is important to understand:
- Trainers are NOT employees, agents, or representatives of Virtu
- Virtu is solely a marketplace/platform that connects trainers with clients
- Virtu does not control, supervise, or direct trainer activities or content
- Virtu is not liable for any actions, advice, content, or conduct of trainers
- Trainers are solely responsible for the services they provide
- Any agreement for services is between you and the trainer directly
4. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRTU DISCLAIMS ALL LIABILITY FOR:
- Any injuries, health issues, or physical/mental harm arising from trainer services
- Any results, outcomes, or consequences from using trainer services
- Direct, indirect, incidental, special, or consequential damages
- Personal injury, property damage, or financial loss
- Business interruption, lost profits, or data loss
- Third-party actions, content, or conduct
- System failures, security breaches, or technical issues
- Any misconduct, negligence, or malpractice by trainers
You participate in all training, coaching, fitness programs, diets, or other services entirely at your own risk. Virtu does not guarantee any results.
5. No Professional Advice
Coaching and content provided on Virtu is for informational and educational purposes only and is NOT a substitute for professional medical, psychological, legal, financial, or other licensed professional advice.
- Always consult qualified healthcare providers before starting any fitness or diet program
- Trainer advice does not replace medical diagnosis or treatment
- Virtu and trainers are not responsible for decisions made based on content or advice
- Seek appropriate professional help for medical, legal, or financial matters
6. Recording & Communication Consent
By using Virtu, you acknowledge and consent to the following:
- Trainers may record video calls for safety, quality assurance, or training purposes
- By joining a video call, you consent to potential recording
- Virtu may store communication logs, messages, and call metadata for safety and platform improvement
- Recordings will be handled in accordance with our Privacy Policy
- You agree not to record calls without the other party's explicit consent
7. User Responsibilities
For Clients:
As a client, you are solely responsible for:
- Your use of the Platform and any consequences thereof
- Verifying trainer credentials, qualifications, and suitability for your needs
- Your health, safety, and wellbeing during any training activities
- Consulting with healthcare professionals before starting any fitness or nutrition program
- All payments and financial transactions with trainers
- Complying with all applicable laws and regulations
- Maintaining the confidentiality of your account credentials
- Providing accurate information about your health conditions and limitations
For Trainers:
As a trainer, you are solely responsible for:
- Accurately representing your qualifications, certifications, and experience
- Providing safe, appropriate, and professional services to clients
- Obtaining and maintaining any required professional licenses or certifications
- Assessing client fitness levels and health conditions before providing programs
- Setting appropriate pricing and clearly communicating your services
- Responding to client inquiries and bookings in a timely manner
- Maintaining professional boundaries with all clients
- Complying with all applicable laws, including tax obligations (GST, income tax, etc.)
- Protecting client privacy and confidential information
- Obtaining appropriate professional liability insurance (recommended)
- Never conducting unsupervised 1-on-1 sessions with minors
- Reporting any safety concerns or inappropriate behavior immediately
8. Prohibited Conduct
All users (clients and trainers) are strictly prohibited from:
- Harassment, bullying, threats, or intimidation of any kind
- Posting or sharing sexually explicit, obscene, or inappropriate content
- Soliciting trainers or clients for inappropriate purposes
- Uploading illegal, harmful, or copyrighted content without authorization
- Spamming, phishing, or distributing malware
- Impersonating others or providing false information
- Attempting to hack, exploit, or compromise Platform security
- Using the Platform for any illegal activities
- Circumventing Platform fees by arranging off-platform payments
- Creating multiple accounts to abuse promotions or evade bans
- Promoting hate speech, extremism, or content targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
- Spreading dangerous misinformation about health, medicine, vaccines, or financial matters
- Content promoting, glorifying, or instructing violence, terrorism, self-harm, or suicide
- Operating or promoting pyramid schemes, multi-level marketing (MLM) scams, or fraudulent business models
- Content promoting illegal drugs, weapons, or controlled substances
Additional Trainer Prohibitions:
- Misrepresenting qualifications, certifications, or experience
- Providing medical, psychological, or legal advice without proper licensing
- Conducting unsupervised 1-on-1 sessions with minors
- Sharing client information with third parties without consent
- Recommending dangerous exercises, supplements, or practices
- Guaranteeing specific results or outcomes
- Discriminating against clients based on race, gender, religion, or other protected characteristics
- Engaging in romantic or sexual relationships with clients
- Using client content or testimonials without explicit permission
Violation of these rules may result in immediate account suspension or termination.
9. Content Ownership & License
Regarding content uploaded to the Platform:
- Trainers retain ownership of their original content
- By uploading content, trainers grant Virtu a non-exclusive, worldwide, royalty-free license to:
- Display, distribute, and promote content on the Platform
- Use content for Platform operation and improvement
- Use anonymized data and content for AI training and feature development
- Create derivative works for Platform functionality
- Virtu will NOT resell trainer content to third parties
- Users may not copy, redistribute, or commercialize trainer content without permission
Content Review & Moderation:
- Virtu reserves the right to review, monitor, and moderate any content uploaded to the Platform for compliance with these Terms
- Authorized Virtu administrators may access trainer content, courses, and week plans for quality assurance, safety review, and policy enforcement
- Content may be reviewed proactively or in response to user reports
- Virtu may remove or disable access to content that violates these Terms without prior notice
- All administrative access is logged for accountability purposes
10. Payments & Taxes
For Clients:
- All payments are processed securely through the Virtu platform
- Prices displayed are set by individual trainers
- Payment is required at the time of booking or purchase
- You will receive receipts for all transactions via email
- Do not make payments outside the platform - this violates our terms and removes your protection
For Trainers:
- You independently set your own prices for services
- Virtu collects payments on behalf of trainers and deducts applicable platform fees
- Platform fees are disclosed in your trainer dashboard and at the time of transaction
- Payouts are processed according to the payout schedule in your dashboard
- You must provide valid banking information for receiving payouts
- Trainers are solely responsible for:
- Reporting and paying all applicable taxes (GST, income tax, TDS, etc.)
- Maintaining proper tax registration and compliance
- Issuing invoices to clients if required by law
- Understanding and complying with local tax laws
- Virtu does not verify trainer tax registration or GST status
- Virtu is not responsible for any tax obligations of trainers
- Virtu may provide earnings reports but these are not official tax documents
11. Refunds & Cancellations
Please review our complete Refund Policy. Key points:
All payments are processed by Virtu. Refunds, if any, are governed solely by Virtu's Refund Policy.
For Clients:
- Refunds are not guaranteed and are issued only in accordance with the Refund Policy
- Trainers are not authorized to promise, approve, or issue refunds
- All refund requests must be submitted via Virtu's official support system
- Requests made via trainer communication are not valid refund requests
- Cancellation of recurring subscriptions prevents future charges only
- Current billing cycles are non-refundable upon cancellation
For Trainers:
- You are not authorized to promise, approve, or issue refunds to clients
- Direct clients to Virtu's support for any refund inquiries
- Refund decisions are made solely by Virtu in accordance with our policy
- Any refund commitments made by you via chat, call, or other communication are not valid
- Excessive service delivery issues may affect your platform standing
12. Account Suspension & Termination
Virtu reserves the right to suspend or terminate any account at any time, with or without notice, for reasons including but not limited to:
- Violation of these Terms of Service
- Safety concerns or reported misconduct
- Fraudulent activity or suspected fraud
- Harassment or abuse of other users
- Violation of minor protection policies
- Non-payment or payment disputes
- Any activity deemed harmful to the Platform or community
Account termination may result in loss of access to content and services without refund.
13. Data Privacy & Communications
By using Virtu, you consent to:
- Collection and use of data as described in our Privacy Policy
- Receiving transactional emails (booking confirmations, receipts, etc.)
- Receiving platform notifications and updates
- Receiving marketing communications (you may opt-out at any time)
Virtu collects only necessary data, does not sell personal information to third parties, and you may request account deletion at any time.
14. Indemnification
You agree to indemnify, defend, and hold harmless Virtu, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any rights of another party.
15. No Warranties
The Platform is provided "AS IS" and "AS AVAILABLE" without any warranties, express or implied. Virtu does not warrant that the Platform will be uninterrupted, error-free, secure, or fit for any particular purpose.
16. Governing Law & Disputes
These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with applicable arbitration laws, with the venue being Bangalore, Karnataka, India.
